Ouch!!! Was that an executive compensation issue you just tripped over?  The section is putting executive compensation in the bull’s eye.  Specifically, many of us are unaware of the broad reach of IRS Section 409A and how pervasively it impacts so many forms of executive compensation.  Bonuses?  Payments upon hitting performance targets?  Stock option plans?  Deferred salary? Exit payments?  All of these and more have Section 409A implications.  And the IRS penalties if you mess up are ugly for the company and executive.  Dick Hopp, a partner with Stoel Rives in Seattle, will lead our discussion and he has promised to do it in plain English.   1 General CLE Credit.  Pizza will be provided.
