Leisnoi, Inc.  The shareholders of Leisnoi, Inc. recalled their board of directors at a special meeting held June 14, 2011, by a vote of more than 58% of all voting shares.  The sitting board challenged the validity of the meeting, and Judge Pfiffner on October 7 granted summary judgment as to the validity of the meeting and entered a preliminary injunction transferring control of the corporation to the new board.  Jahna Lindemuth, a partner at Dorsey & Whitney, will share the story from the point-of-view of the lawyer litigating the case on behalf of the shareholders who called the meeting and were elected to the new board, and Jana Turvey, whose day job is General Counsel for Ahtna, Inc., will tell the story from the perspective of a shareholder leading the recall effort.  1 General CLE Credit.
